The Office of Competition and Consumer Protection adopted five decisions on concentration approval. These decisions pertain to entrepreneurs operating in the telecommunications, energy, construction, motor and food industry

The first among the concentrations examined by the Competition Authority is the joint takeover of Polimex-Mostostal by Enea, Energa, PGE and PGNiG. Polimex-Mostostal is a company engaged in engineering and construction business in the energy and petrochemical industries. The company leads a capital group comprising more than 20 companies performing manufacturing, construction, assembly and renovation works in a variety of sectors.

Another transaction which was green-lit by the Competition Authority was the direct takeover of L&B Wyrębski by Plukon Food Group. The entrepreneurs in question both engage in activities which involve animal slaughter and the sale of raw meat and poultry products such as spiced, salted, smoked or marinated meat. Following the concentration, Plukon will also acquire a part of the property of the Grzegorz Wyrębski Poultry Company in Wróblew.

The Competition Authority also consented to the takeover of companies forming part of the Thegra Tracomex Holding by Cefetra. Cefetra is a member of the BayWa capital group which engages in trading activities in the area of agriculture, construction materials and the energy sector. The five companies covered by the takeover include Thegra Poland, a company trading in mass agricultural products and foodstuffs such as animal feed mix components, grains, oilseed cakes, whey and powdered milk.

Yet another approval pertains to the formation of a joint venture called Zenuity by Volvo Car and Autoliv. Volvo Car is an entrepreneur which operates in the motor industry, engaging in the design, manufacture and marketing of cars and spare parts. Autoliv is a manufacturer and supplier of car safety systems. The new company will focus on designing software for devices to be installed in the vehicles manufactured by Volvo Cars or sold by Autoliv to other component manufacturers.

The last among the decisions adopted by the Competition Authority pertains to the establishment by Alcatel-Lucent Poland and Infracapital Greenfield Partners of joint ventures which will allow them to take part in competitions announced for network operators by the Digital Poland Projects Centre. Alcatel is part of the Nokia Group headed by Nokia Corporation in Espoo (Finland). The company supplies telecommunications equipment used in both landline and mobile networks and provides services to telecommunications network operators. Infracapital Greenfield Partners is an investment fund forming part of the Prudential Group.

According to the provisions of applicable laws, the transaction is subject to notification to the antitrust authority if it involves entrepreneurs whose aggregate turnover generated in the preceding year exceeded EUR 1 billion worldwide or EUR 50 million in Poland.

The decisions authorising the concentration expire if the transaction is not performed within 2 years from the date of issuance thereof. The website of the Competition Authority publishes information on all concentration-related anti-monopoly proceedings conducted by the Authority.
